These Terms & Conditions of Trade govern all quotes, works, and services provided by Refined Cabinetry (“the Company”). Acceptance of a quote constitutes agreement to these terms.
1. Acceptance & Commencement
Acceptance of this quote constitutes agreement to these Terms & Conditions and must be confirmed via the Xero acceptance link or in writing (including email). No verbal acceptance will be recognised.
No works will commence until formal acceptance and the required deposit have been received and cleared. Receipt of the deposit confirms acceptance of these Terms & Conditions and authorises the Company to proceed with scheduling, procurement, and production.
Any timelines provided prior to deposit payment are indicative only. The project is not considered confirmed or scheduled until both acceptance and deposit have been received.
2. Pricing & Validity
- Quotes remain valid for 21 days unless otherwise stated.
- Pricing is based on current material and labour costs and may be subject to adjustment prior to acceptance.
- Only items explicitly listed in the written quote are included.
3. Payment Terms
For smaller or less complex works (including sliding wardrobes), the Company reserves the right to waive the progress payment stage at its discretion, with the remaining balance due upon completion.
Payment terms are strictly non-negotiable unless otherwise agreed in writing prior to acceptance.
- A 25% deposit of the total invoice is required upon acceptance. Detailed drawings will be provided once the deposit has been received.
- A 50% progress payment of the total invoice is required prior to delivery to site and commencement of installation.
- The remaining balance is payable in full upon completion.
4. Overdue Payments
- Overdue amounts may incur interest at 5% per annum, calculated daily on the outstanding balance.
- The Company reserves the right to suspend works, withhold delivery, or refuse installation until all outstanding amounts are paid.
- The Client is liable for all costs associated with the recovery of outstanding payments, including legal and debt collection fees.
5. Variations
- All variations must be approved in writing prior to commencement.
- Site discussions, verbal instructions, or informal agreements are not binding.
- Variations may result in additional costs and/or time adjustments.
6. Plans, Drawings & Scope Confirmation
Only items expressly included in the written quote form part of the scope. Any assumptions made outside the written scope are excluded unless confirmed in writing.
- The Client is responsible for reviewing and approving all drawings prior to manufacture.
- Approval confirms full acceptance of design, layout, and specifications.
- The Company is not responsible for any errors or omissions once drawings have been approved.
7. Exclusions & Client-Supplied Items
Where the Client supplies appliances or fixtures, responsibility remains entirely with the Client for specification, compatibility, condition, and delivery timing. The Company accepts no liability for delays, damage, or installation issues arising from client-supplied items.
Where client-supplied items are incorrect, delayed, or replaced after cabinetry manufacture has commenced, any resulting modifications or delays will be treated as a variation and charged accordingly. The following are excluded unless explicitly detailed in the written scope:
- Electrical, plumbing, and associated trade services
- Appliances including ovens, cooktops, rangehoods, dishwashers, fridges, and integrated units
- Tapware, sinks, mixers, and plumbing fixtures
- Wall straightening, floor levelling, plastering, painting, or building rectification works
- Removal or disposal of existing cabinetry
- Structural modifications
- Waterproofing or certification requirements
- Any works not explicitly detailed in the written scope
8. Site Readiness & Access
- The Client must ensure the site is fully prepared, safe, and accessible at the agreed time.
- All preceding trades must be completed prior to installation unless otherwise agreed in writing.
- Delays, re-attendance, or additional costs arising from site readiness, access issues, or other trades remain the responsibility of the Client.
9. Damage by Other Trades
The Company accepts no responsibility for damage to cabinetry, materials, or finishes caused by other trades, contractors, or third parties after delivery or installation. Any rectification required will be charged accordingly.
10. Manufacture & Lead Times
- Manufacture will not commence until deposit, written approval, and final measurements have been confirmed.
- Lead times are indicative only and subject to supplier availability and factors beyond the Company’s control.
11. Completion, Acceptance & Defects
Installation dates are indicative only and may be subject to change.
The project is deemed complete upon practical completion, being the point at which the works are installed and reasonably fit for normal use, regardless of minor cosmetic items or adjustments. Practical completion constitutes completion for all contractual purposes, including payment obligations and warranty commencement.
Minor defects are defined as non-structural, non-functional cosmetic items or minor adjustments that do not prevent normal use of the cabinetry. These do not constitute grounds for withholding payment or delaying completion. Final payment remains due in full regardless of minor outstanding items.
The Client is deemed to have accepted the works upon occupation, use, or storage of items within the installed cabinetry, whichever occurs first following practical completion.
12. Defects & Maintenance
- Defects must be reported within a reasonable timeframe following completion.
- The Company will rectify valid workmanship defects within a reasonable period.
- The Company is not responsible for damage caused by misuse, moisture, structural movement, or normal wear and tear.
13. Warranty
Workmanship is warranted for 10 years from practical completion. Warranty is limited to the rectification of workmanship defects at the Company’s discretion. This warranty excludes:
- Damage caused by other trades or third parties
- Water or moisture-related damage
- Structural movement of the building or substrate
- Improper use or lack of maintenance
- Normal wear and tear
14. Ownership of Goods
All goods remain the property of the Company until paid in full. The Company reserves the right to recover goods where permitted by law.
15. Storage & Delays
Delays caused by the Client may result in storage and handling charges. The Company is not liable for delays outside its reasonable control.
16. Cancellations
Deposits are non-refundable once materials have been ordered or production has commenced. Cancellation after acceptance may result in charges for work completed, materials purchased, and loss of scheduling capacity.
17. Liability
Liability is strictly limited to the value of the works supplied. The Company is not liable for indirect or consequential loss.
18. Governing Law
These Terms & Conditions are governed by the laws of South Australia, Australia.
